Major ownership clause, same as MAC, also this one represents very often used condition within standardized legal documentation (like LMA for instance), which should secure that during the lifetime of the credit relationship, the parent company of the Borrower will not change. It is very crucial for “name-lending” deals, whereas the Creditor relies on the fact that Borrower belongs to strong well-known Group with solid market position, strong capitalization and good access to external funds, so in case of Borrowers default, the parent may easily provide intra-Group funds to help in repaying the loans. There are also possibilities to conclude certain thresholds that ownership in the Borrower will not be reduced below majority or 51% of the shares held by parent company.
